Terms of Service

1. Agreement

These Terms of Service govern your use of zedwp.dev and any engagement with ZedHub Technologies Co., Ltd. ("ZedWP", "we", "us"). By contacting us or entering an engagement, you agree to these terms.

2. Our Services

ZedWP provides custom WordPress services including bespoke theme and Gutenberg block development, WooCommerce stores, AI-powered automation, performance and security optimization, WordPress design, and dedicated offshore WordPress teams.

3. Proposals & Statements of Work

Each engagement is governed by a written proposal or Statement of Work (SOW) covering scope, milestones, deliverables, and fees. Changes to scope are handled through written change orders. In the event of any conflict between these Terms and a signed SOW, the SOW prevails for that engagement.

4. Client Responsibilities

• Provide accurate project requirements, feedback, and timely approvals.
• Grant reasonable access to systems and third-party accounts needed for delivery.
• Ensure all content you supply is lawful and that you have the rights to it.

5. Intellectual Property

Upon full payment for a project, 100% of the source code, IP, and architecture documentation we produce for you is transferred to your organization. We retain ownership of our pre-existing tools, frameworks, and methodologies, and we reserve the right to reuse non-client-specific components.

6. Confidentiality & NDA

We are happy to sign mutual non-disclosure agreements prior to any review of proprietary specifications. We treat your business information as confidential and do not disclose it to third parties without your consent.

7. Payment Terms

Fees and schedule are set out in each proposal or SOW, typically as a deposit plus milestone payments. Invoices are payable within the agreed term. Late payments may pause delivery until cleared.

8. Warranty & Support

Deliverables include a 30-day post-launch warranty covering defects in the delivered work, with zero-downtime hotfixes. Ongoing maintenance and SLA support are available under a separate agreement.

9. Limitation of Liability

To the maximum extent permitted by law, ZedWP is not liable for indirect, incidental, or consequential damages, including loss of profits or data. Our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement.

10. No Guarantee of Specific Outcomes

While we engineer for quality and measurable results, we do not guarantee specific business outcomes such as search rankings, conversion rates, or revenue. Performance depends on factors outside our control.

11. Termination

Either party may terminate an engagement with written notice per the terms of the SOW. Upon termination, you pay for work completed to date, and IP ownership of completed work transfers per clause 5.

12. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the competent courts of Da Nang, Vietnam.
